1. Eligibility and Legal Capacity

You may use the Site and enter into transactions with Lullipop only if you possess the legal capacity to enter into a binding contract.

If you have not reached the age of majority in your jurisdiction, you may use the Site only under the supervision and with the authorization of a parent or legal guardian who agrees to be bound by these Terms.

The Site is not intended for children under thirteen years of age.

Where you use the Site on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Accuracy of Information Provided by You

You agree to provide accurate, complete, current, and non-misleading information in connection with all purchases, payment transactions, account registrations, return requests, and communications with Lullipop.

You are solely responsible for reviewing all information entered before submitting an order, including your name, billing information, shipping address, email address, products, size, color, quantity, and payment method.

To the fullest extent permitted by law, Lullipop shall not be responsible for loss, delay, failed delivery, additional shipping charges, customs charges, or other costs resulting from incorrect or incomplete information supplied by the customer.

3. Manufacture and Supply Chain

Lullipop's finished merchandise is manufactured in-house.

Lullipop may source fabrics, trims, components, packaging materials, manufacturing inputs, equipment, or other supplies from third-party suppliers located in various jurisdictions, including China, the Philippines, Japan, and Laos.

The geographic origin of a component or material does not necessarily constitute the country of origin of the finished product for legal labeling or customs purposes.

Lullipop will make country-of-origin and product-origin representations only as permitted by applicable law.

Nothing in this section constitutes a guarantee that every component of every product originates from any particular country unless expressly identified on the applicable product page or product label.

4. Product Descriptions, Photography and Color Representation

Lullipop makes commercially reasonable efforts to ensure that product descriptions, photography, measurements, materials, colors, specifications, and other information displayed on the Site are accurate.

However, differences may occur because of:

• monitor or mobile-device settings;
• display calibration;
• photography lighting;
• fabric texture;
• dye-lot variation;
• manufacturing tolerances;
• textile stretch;
• finishing processes;
• natural or handmade variation.

Colors displayed electronically cannot be guaranteed to precisely match the physical product.

Minor variations that do not materially affect the intended use, quality, or characteristics of merchandise shall not, by themselves, constitute a defect.

Nothing in this section limits rights relating to merchandise that is materially defective, materially misdescribed, or otherwise subject to non-waivable consumer protections.

5. Sizing and Fit

Sizing information is provided for general guidance.

Fit may vary depending upon garment construction, textile stretch, design, body measurements, body shape, and individual preference.

Any recommendation made by Lullipop, whether through a size guide, automated sizing feature, customer-service communication, or other method, is informational only and does not constitute a warranty that a particular size will fit a particular customer.

Eligible products may be returned only in accordance with the Lullipop Returns, Refunds & Exchanges Policy.

6. Prices, Taxes, Duties and Charges

All prices are stated in the currency displayed at checkout.

Unless expressly stated otherwise, advertised prices may exclude:

• sales taxes;
• value-added taxes;
• customs duties;
• import charges;
• brokerage charges;
• shipping charges;
• governmental assessments.

Any applicable charges will be disclosed or calculated where practicable at checkout.

Lullipop reserves the right to modify prices at any time before an order is accepted.

If the Site contains an obvious pricing, inventory, description, or technical error, Lullipop may correct that error and, where legally permitted, cancel an affected transaction.

If Lullipop cancels an order after payment has been collected, the amount collected for the cancelled merchandise will be refunded.

7. Order Submission and Contract Formation

The display of merchandise on the Site constitutes an invitation to customers to submit an offer to purchase and does not itself constitute a binding offer by Lullipop.

When you submit an order, you make an offer to purchase the selected merchandise subject to these Terms.

An automated acknowledgment or confirmation that an order has been received does not necessarily constitute final acceptance.

Lullipop may review an order before acceptance and fulfillment.

A contract of sale is formed when Lullipop accepts the order by commencing fulfillment, dispatching the merchandise, or otherwise expressly confirming acceptance.

Lullipop may refuse, limit, or cancel an order where permitted by law for reasons including:

• suspected fraud;
• unauthorized payment;
• payment verification failure;
• pricing or inventory errors;
• suspected resale;
• promotion abuse;
• return abuse;
• sanctions restrictions;
• export restrictions;
• inaccurate customer information;
• technical errors;
• unlawful activity.

8. Order Changes and Cancellations

Orders may enter production, picking, packing, or fulfillment shortly after submission.

For that reason, Lullipop cannot guarantee that an order can be amended or cancelled once submitted.

Requests should be sent to support@lullipop.com as soon as possible.

Once an order has entered fulfillment or has been dispatched, Lullipop may be unable to modify:

• the destination address;
• product;
• size;
• color;
• quantity;
• payment method.

If an order cannot be cancelled, eligible merchandise may be returned under the Returns, Refunds & Exchanges Policy.

Nothing in this provision limits cancellation rights that applicable law grants and does not permit the parties to waive.

9. Shipping and Dispatch

9.1 Dispatch Commitment

Unless a different dispatch period is clearly disclosed before purchase, Lullipop intends to dispatch accepted orders within seventy-two (72) hours of order placement.

The seventy-two-hour period concerns dispatch by Lullipop, not final delivery by the carrier.

A shipment shall be considered dispatched when the merchandise has been transferred to the applicable shipping carrier or logistics provider for delivery.

Because Lullipop expressly represents that orders are shipped within this period, Lullipop will maintain a reasonable basis for making this shipment-time representation as required by applicable law. If Lullipop cannot ship within the stated period, it will provide any delay notice, cancellation option, consent request, or refund required under applicable law.

9.2 Worldwide Shipping

Lullipop offers international shipping to destinations supported by its carriers and permitted under applicable trade, export, customs, sanctions, and transportation laws.

Availability of delivery to a particular country or territory may change without notice based upon:

• carrier availability;
• sanctions;
• trade restrictions;
• import restrictions;
• customs requirements;
• local law;
• safety considerations;
• logistical limitations.

Lullipop reserves the right to refuse shipment to any location where delivery is unlawful, unavailable, or commercially impracticable.

9.3 Delivery Days

Lullipop's third-party carriers generally do not perform standard deliveries on weekends or public holidays.

Accordingly, delivery estimates should be calculated based upon ordinary carrier operating days.

A weekend or public holiday may extend the time between dispatch and delivery.

9.4 International Customs and Import Requirements

International shipments may be subject to:

• customs inspection;
• import restrictions;
• duties;
• VAT or similar taxes;
• brokerage charges;
• governmental fees;
• documentation requirements.

Unless expressly stated otherwise at checkout, the customer is responsible for duties, import taxes, brokerage fees, and similar charges imposed by the destination jurisdiction.

The customer is also responsible for complying with local import requirements.

If an international shipment is refused, abandoned, or returned because the customer:

• refuses applicable customs charges;
• fails to complete required customs procedures;
• supplies inaccurate customs information;
• refuses delivery;

Lullipop may deduct reasonable shipping, customs, carrier, and return costs from any refund to the extent permitted by law.

9.5 Delivery Delays Outside Lullipop's Control

After merchandise has been dispatched, delivery is performed by independent carriers and may be affected by circumstances outside Lullipop's reasonable control.

To the fullest extent permitted by applicable law, Lullipop shall not be liable for carrier or delivery delays resulting from events including, without limitation:

• customs processing or inspection;
• carrier service disruptions;
• postal or transportation strikes;
• labor disputes;
• civil commotion;
• riot;
• invasion;
• armed conflict;
• war;
• terrorist attack;
• threatened terrorist attack;
• governmental action;
• embargo;
• border closure;
• severe weather;
• flood;
• earthquake;
• hurricane;
• fire;
• natural disaster;
• epidemic;
• pandemic;
• quarantine;
• interruption or failure of public utilities;
• interruption or failure of public or private telecommunications networks;
• interruption of air, rail, sea, or ground transportation systems;
• other events beyond Lullipop's reasonable control.

This provision does not relieve Lullipop of obligations that applicable consumer law expressly places on the seller.

10. Risk of Loss and Title

To the extent permitted by applicable law, risk of loss transfers in accordance with the governing consumer and commercial law applicable to the transaction.

Nothing in these Terms is intended to transfer risk to a consumer earlier than permitted by applicable law.

Where applicable law requires Lullipop to bear the risk of loss until physical delivery to the customer, that law controls.

Title to merchandise shall not transfer until Lullipop has received payment in full and any other legally required conditions have been satisfied.

11. Payment Authorization

By submitting a payment method, you represent and warrant that:

1. the information supplied is true and complete;
2. you are authorized to use the payment method;
3. the payment method may lawfully be used for the transaction;
4. you authorize Lullipop and its payment providers to process the transaction.

Lullipop may use third-party payment processors and may not receive or retain complete payment-card information.

12. Paying with Klarna

Lullipop may permit eligible customers to select Klarna as a payment method at checkout.

Klarna is an independent third-party financial-services provider. Lullipop does not itself extend credit under Klarna's financing products and does not control Klarna's:

• eligibility determinations;
• identity-verification procedures;
• credit determinations;
• spending limits;
• payment schedules;
• late-fee policies;
• loan terms;
• regulatory disclosures;
• account restrictions.

Use of Klarna is subject to the terms, disclosures, privacy notices, and eligibility requirements presented by Klarna at or before checkout.

Available Klarna products may vary according to customer location, transaction amount, applicable law, and Klarna's underwriting or eligibility requirements.

Where Lullipop advertises specific Klarna financing terms, any required consumer-credit disclosure will be displayed as required by Klarna and applicable law.

Approval by Klarna is not guaranteed.

Lullipop does not receive or control payments owed by the customer directly to Klarna except as part of the merchant settlement process.

A return to Lullipop does not automatically cancel or modify the customer's Klarna payment obligation until the applicable return has been:

1. received;
2. inspected;
3. approved; and
4. processed through the payment system.

Customers remain responsible for complying with Klarna's payment terms while a return or refund is pending.

Following an approved refund, Klarna will adjust or refund the customer's payment arrangement according to Klarna's applicable procedures.

Questions concerning the following must be directed to Klarna:

• Klarna approval;
• payment schedules;
• financing;
• missed payments;
• Klarna account issues.

Questions concerning the following should be directed to Lullipop through the appropriate customer-service or returns process:

• the merchandise;
• fulfillment;
• Lullipop returns;
• defective items.

13. Limited License to Use the Site

Subject to your continued compliance with these Terms, Lullipop grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site and to temporarily download or view reasonable portions of Site materials solely for your personal, lawful, non-commercial use.

This license constitutes a limited authorization to use the Site. It does not transfer ownership or title in any Lullipop intellectual property.

Except where applicable law expressly provides otherwise, you may not, without Lullipop's prior written permission:

1. reproduce, copy, modify, adapt, translate, republish, distribute, sell, license, or commercially exploit Site materials;
2. use Site materials for commercial or public-display purposes;
3. copy or extract product photography, artwork, graphics, written content, designs, or other protected material for use on another website, marketplace, advertisement, social-media account, catalog, product listing, or commercial service;
4. decompile, disassemble, reverse engineer, or attempt to derive the source code of software made available through the Site, except to the limited extent such restrictions are prohibited by law;
5. remove, conceal, or alter copyright notices, trademarks, watermarks, proprietary notices, or other rights-management information;
6. transfer, sublicense, rent, lease, lend, or otherwise provide Site materials to another person for unauthorized use;
7. mirror, frame, reproduce, or host the Site or any substantial portion of it on another server, domain, platform, or service;
8. use automated systems, bots, spiders, scrapers, crawlers, or similar technology to systematically extract protected content except as expressly authorized by Lullipop or required by law;
9. use Lullipop materials to train, develop, benchmark, fine-tune, or populate a commercial artificial-intelligence or machine-learning system without prior written authorization.

The license granted under this section automatically terminates if you breach these Terms.

Lullipop may also revoke this license at any time where legally permitted.

Upon termination, you must cease unauthorized use and destroy or permanently delete downloaded copies of protected materials in your possession or control, except to the extent retention is required by law.

14. Intellectual Property Ownership

All right, title, and interest in and to the Site and Lullipop's original materials remain exclusively with Lullipop or its applicable licensors.

Protected material includes, without limitation:

• Lullipop trademarks;
• logos;
• service marks;
• trade names;
• trade dress;
• product photography;
• model photography;
• website photography;
• illustrations;
• graphics;
• artwork;
• written copy;
• product descriptions;
• typography arrangements;
• layouts;
• interface designs;
• website designs;
• audiovisual works;
• software;
• source code;
• databases;
• compilations;
• marketing materials.

No license or right is granted by implication, estoppel, or otherwise except the limited license expressly granted in these Terms.

15. Trademarks

The Lullipop name, logos, stylized marks, product identifiers, trade dress, graphics, and related branding are proprietary to Lullipop or its licensors.

Nothing on the Site grants permission to use a Lullipop trademark without prior written authorization.

Unauthorized use may constitute trademark infringement, unfair competition, passing off, dilution, or other violation of law.

16. Prohibition on Commercial Scraping and Misappropriation

Commercial scraping, systematic extraction, automated replication, or unauthorized aggregation of Lullipop content is prohibited.

This includes unauthorized collection of:

• pricing;
• product descriptions;
• photographs;
• product catalogs;
• sizing information;
• website designs;
• reviews;
• proprietary data.

Lullipop reserves all rights and remedies available under applicable contract, copyright, trademark, computer-access, database, unfair competition, and related law.

17. Reviews, Photographs and User-Generated Content

Any review, image, testimonial, video, or other material submitted voluntarily to Lullipop must be lawful and must not infringe another person's rights.

By submitting such content for publication, you represent and warrant that you possess the rights necessary to submit it.

You retain ownership of your original material.

However, where legally permitted, you grant Lullipop a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, crop, resize, adapt, publish, distribute, display, and promote the submitted material in connection with Lullipop's business and marketing.

18. Force Majeure

Neither Lullipop nor its service providers shall be liable for failure or delay in performance, other than obligations that cannot legally be excused, to the extent the failure or delay is caused by circumstances beyond reasonable control.

Such circumstances may include:

• acts of God;
• natural disasters;
• severe weather;
• war;
• invasion;
• hostilities;
• terrorism;
• riot;
• civil disorder;
• governmental action;
• trade embargo;
• customs interruption;
• labor disputes;
• strikes;
• transportation failure;
• carrier disruption;
• telecommunications failure;
• utility failure;
• epidemic;
• pandemic;
• quarantine;
• fire;
• flood;
• earthquake.

The affected obligation shall be suspended only to the extent and for the period that performance is prevented by the qualifying event, subject to applicable consumer law.

19. No Waiver

Failure by Lullipop to enforce any provision of these Terms on one occasion shall not constitute a waiver of that provision or of Lullipop's right to enforce it later.

Any waiver must be expressly authorized in writing by Lullipop.

20. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.

The remaining provisions shall remain in full force and effect.

21. Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without Lullipop's prior written consent.

Lullipop may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing transaction, transfer of substantially all relevant assets, or similar business transaction, subject to applicable law.

22. Entire Agreement

These Terms, together with policies expressly incorporated by reference, constitute the entire agreement between the customer and Lullipop regarding use of the Site and transactions governed by them.

The incorporated policies include, as applicable:

• Privacy Policy;
• Cookie Policy;
• Returns, Refunds & Exchanges Policy;
• Shipping & Delivery Policy;
• Promotions Terms;
• Gift Card Terms;
• Your Privacy Choices;
• other policies specifically referenced at checkout.

23. Survival

Provisions that by their nature should survive termination shall remain effective following termination of these Terms, including provisions concerning:

• intellectual property;
• payment obligations;
• limitations of liability;
• indemnification;
• dispute-related provisions;
• confidentiality;
• ownership;
• governing law.

24. Electronic Communications

By using the Site, you consent to receive legally permissible transactional communications electronically, including:

• order confirmations;
• shipping notices;
• return communications;
• refund notices;
• account-security notices;
• legally required electronic disclosures.

Marketing communications remain subject to applicable consent and opt-out requirements.

25. International Trade and Sanctions

Lullipop's worldwide shipping services remain subject to applicable:

• U.S. export controls;
• sanctions;
• embargoes;
• customs laws;
• destination-country import restrictions.

Lullipop may refuse, cancel, or hold a transaction where fulfillment would violate or reasonably risk violating applicable law.

26. Governing Law

Except where mandatory consumer law provides otherwise, these Terms shall be governed by and construed under the laws of the State of North Carolina, without regard to conflict-of-law principles.

Mandatory consumer protections applicable in a customer's jurisdiction remain unaffected where they cannot legally be waived.
